Constitution The delay in registration is over our Name. It starts with the word Gambia, which is not allowed by the Gambian authorities. |

GTS
Charity The process has been longer in our heads than in the execution. In Jan/Feb 2003 India Glynn spent time in Gambia with May Rooney sorting out a draft constitution and with Kabs filing the official papers. Since then Kabs with his usual diplomacy has been following up the process. All new registered charities in Gambia have to be vetted by a United Nations representative and a meeting has tobe held so that rep can meet a qurum of the charities board to ensure the charity is genuine and that it has an adequate constitution I am delighted to report that the officer meet all the board members present in Gambia, and may has reported back that he was very impressed and will now write an official letter of recommendation that GTS be given charity status in Gambia. As soon as that happens I will report it on the site and have a section providing minutes and GTS Charity News. The new name suggested is "The Charity for Gambia Tourist Support (GTS)" our constitution will be changed and re submitted for registration. Article 1. Article 2.

If casual vacancies occur among the elected members of The Board, it will have the power to fill these by selection in consultation with the General Body. Any failure to elect or any defect in the election, appointment, co-option or qualification of any member will not invalidate the proceedings of The Board. Powers - The council hereby constituted, in following the above aims, shall have the power to: Write, print, publish and issue in any format, such as leaflets, books, posters or other documents as well as recorded filmed material, to help further it's aims. Such material may be subject to payment or otherwise provided free. Purchase, take on lease or exchange, hire or otherwise lawfully acquire such property or other rights and privileges that may be necessary for the promotion of its objects, and to construct, maintain or alter the same. · Raise funds and invite or receive donations/contributions provided such funds are used for the purpose of the charity's aims and objectives. · Invest money that is not immediately required for use in or upon such investments, securities or property as the Charity sees fit, subject nevertheless to such conditions that for the time being may be imposed by law. Do all other lawful things that will further The Charity for GTS aims and objectives as an organisation. Article 5. Voting - Any question arising at a meeting of the Charity
or one of it's Committees, will be decided by a simple majority of those
present and voting. Article 6. The Board will meet and hold two annual meetings. A two week notice shall be given prior to the meeting. The business and issues of each meeting will be:
Minutes - Minutes books will be kept by the Charity. The respective secretary shall be responsible for the recording of all proceedings and resolutions that take place. Article 7. All meetings shall require two thirds of the board to attend. Article 8. All money raised by or on behalf of the charity will be used to further the Charity's objectives and not for any alternative purpose, provided that nothing herein contained shall prevent the payment in good faith of reasonable out-of-pocket expenses incurred on behalf of the Charity by volunteers. An account will be opened in the name of the Charity with a branch of the Standard Chartered Bank or with other such financial institutions that the Board may from time to time decide. The Charity's financial year will run from the 1st September to 30th August Accounts - The Board will comply with its obligations under the law relating to The keeping of accounting records for the Charity The preparation of annual statements of accounts for the Charity The auditing or independent examination of accounts for the Charity Article 9. Resignation - Any member may resign his/her membership by giving a written notice to the Secretary. Expulsion - Any member may be expelled from membership of the Charity by resolution of The Board for reasons to be stated in writing. Article 10. If The Board by a majority decision decide at any time that on the ground of expense or otherwise, it is necessary or advisable to dissolve the Charity then it shall call a meeting of all members of The Board, stating the terms of the resolution to be proposed thereat. If such a decision is confirmed by simple majority voting, the Board shall have power to dispose of any assets held by or in the name of the Charity. Any assets remaining after the satisfaction of any proper debts and liabilities will be applied towards such charitable purposes for the benefit of a Charity holding similar aims and objectives.
